RPM Discs Terms and Conditions

1. Introduction

Disc Golf Aotearoa Limited is a sporting goods manufacturer and supplier trading as RPM Discs (“RPM”, “we”, “our”).

These terms and conditions of sale (“Terms”) apply to all sales of goods and services by RPM Discs to any person (“Buyer” or “Customer”) and form the entire agreement between the parties.

By placing an order with RPM Discs, the Buyer agrees to be bound by these Terms.

These Terms distinguish between three Customer types:
– End User: A retail customer purchasing for personal or non-commercial use.
– Wholesaler: A business customer approved by RPM to purchase at wholesale pricing, subject to minimum spend requirements.
– Master Distributor: An approved regional distributor with exclusive or semi-exclusive rights, subject to elevated minimum spend requirements and distribution obligations.

2. Orders and Acceptance

All orders are subject to acceptance by RPM.

RPM reserves the right to refuse or cancel any order at any time, for any reason.

The Buyer must ensure that all order details provided are accurate and complete.

RPM will confirm acceptance of the order in writing or by dispatching the goods.

3. Pricing and Payment

All prices are quoted in the currency of the Buyer’s location, as determined by RPM’s website or quotation.

Prices are exclusive of GST (unless otherwise stated) and are subject to change without notice.

RPM reserves the right to review and adjust prices quarterly.

Products not held in stock may require a formal quotation. Quotations are valid for 30 days unless otherwise stated.

Payment is required at the time of placing an order unless there is a written agreement for longer payment terms.

Payment can be made by credit card or direct bank transfer.

If the Buyer fails to make payment when due, RPM may cancel the order and charge a cancellation fee of 10% of the total order value. Late payments may also incur interest of 2.5% per month and debt recovery costs.

RPM may offer discount structures for bulk purchases, subject to minimum quantity requirements.

4. Minimum Order Requirements

Wholesaler: Minimum spend per order is NZD $500 excl. GST.

Master Distributor: Minimum spend per quarter is NZD $5,000 excl. GST.

Failure to meet minimums may result in the review or revocation of customer status.

5. Delivery and Risk

Delivery times are estimates only. RPM is not liable for delivery delays.

The Buyer is responsible for providing a valid delivery address.

Risk of loss or damage passes to the Buyer upon delivery.

Ownership of goods remains with RPM until full payment is received.

If the Buyer wishes to return goods, they must do so within 7 days of receipt and in accordance with RPM’s returns policy.

6. Consumer Guarantees Act 1993 (CGA)

The CGA applies to the sale of goods to End Users.

For business transactions (Wholesalers and Master Distributors), the Buyer agrees that the CGA does not apply pursuant to sections 2 and 43(2) of the Act, unless otherwise agreed in writing.

Nothing in these Terms limits rights under the CGA that cannot be excluded.

7. Returns and Warranties

Returns for change of mind are not accepted unless agreed in writing.

If goods are faulty or not as described, please contact us within 7 days of delivery.

Warranty for business customers is limited to replacement or repair at RPM’s discretion.

8. Liability and Indemnity

To the fullest extent permitted by law, RPM excludes all liability for any loss or damage (including indirect or consequential) arising from any breach of these Terms or otherwise.

The Buyer indemnifies RPM against any third-party claims or liabilities arising from their breach of these Terms or applicable law.

9. Intellectual Property

All branding, trademarks, and product designs remain the property of RPM Discs and must not be used without written consent.

10. Termination

RPM may suspend or terminate any account or agreement at any time, especially for non-payment or breach of these Terms.

11. Governing Law

These Terms are governed by the laws of New Zealand.

The parties submit to the non-exclusive jurisdiction of the New Zealand courts.

12. Privacy Policy

RPM collects, uses, and protects customer information in accordance with its Privacy Policy, available on the RPM website.
